These Terms and Conditions are a binding agreement between you and Agency Healthspan LLC (“Agency,” “we,” “us”). They cover your use of AgencyHealthspan.com and Agency’s nonclinical education, marketing, coordination, administrative, and customer-support services. Separate terms, consents, privacy notices, and professional obligations may apply to services provided by clinicians, medical practices, telehealth platforms, laboratories, pharmacies, payment processors, and shipping providers.
By using the website, creating an account, submitting a request, or buying an Agency service, you confirm that you have read and agree to these Terms. If you do not agree, please do not use the website or Agency services.
1. Eligibility
You must be at least 18 years old (or the age of majority where you live, if higher), be able to enter a contract, and be located where the requested service is lawfully available. You must give accurate and current information, protect your login details, and promptly update any material changes. Services are not available in every state, and availability may change.
2. Agency is not your healthcare provider
Agency Healthspan is the customer-facing administrative and coordination company. We operate the platform, handle intake and support, document consent, coordinate communications, and may collect consultation fees as the disclosed billing agent for OSI Medical Services, P.A. (“OSI”). We do not practice medicine, diagnose, prescribe, dispense medication, perform laboratory testing, or make clinical decisions. Website content and Agency communications are general information, not medical advice.
OSI is an independent medical practice. Its licensed healthcare professionals use their own professional judgment to decide whether to accept a consultation request and whether an evaluation, lab test, treatment, or prescription is appropriate. A clinician may decline, stop, or change treatment. Completing intake or paying a fee does not guarantee a prescription, medication, diagnosis, or outcome. Pharmacies independently decide whether and how a lawful prescription can be filled. Scriptful, Inc. provides supporting technology and operations but does not replace your treating clinician.
3. No emergency services
The website and related services are not for emergencies or urgent conditions. Do not send emergency information through a form, chat, email, or text. If you may be having an emergency, call 911 or go to the nearest emergency department. If you are thinking about harming yourself, call or text 988 in the United States, or use an appropriate local emergency resource.
4. Telehealth
Telehealth has benefits and limits. Technology can fail, information can be incomplete, and a remote clinician may decide you need in-person care. You must accurately state your physical location at the time of any clinical visit, give truthful and complete health information, follow instructions, tell your clinicians about other medications and providers, and seek in-person or emergency care when advised.
Before clinical services, you may need to accept a separate telehealth informed consent from the responsible provider. That consent, not these Terms, explains clinical risks, alternatives, privacy considerations, and how to reach the provider.
5. Prescription and compounded medications
A prescription is issued only when an authorized clinician decides it is medically appropriate. Medications can have risks, contraindications, interactions, and side effects. Read the pharmacy label, medication guide, and provider instructions, and contact your prescriber or the dispensing pharmacy with clinical or dispensing questions.
Some programs may involve compounded medication. Compounded drugs are not FDA-approved, and the FDA does not review them for safety, effectiveness, or quality before they are marketed. A clinician should prescribe a compounded medication only when it is appropriate for you as an identified patient under applicable law. Product images and descriptions are illustrative and do not guarantee that a clinician will prescribe a particular formulation, dose, brand, or pharmacy product.
Availability, formulation, price, pharmacy, and shipping time may change because of clinical judgment, law, shortages, pharmacy operations, or other factors. Never share prescription medication, change a dose without clinician direction, or seek treatment based only on website content.
6. Hormone and peptide therapies
Some programs involve hormone therapy or peptide-based treatment. These therapies carry risks that depend on your health history, and they usually require clinician evaluation, laboratory testing, and follow-up monitoring. Whether a therapy is offered to you, and in what form, is a clinical decision made by an OSI clinician under applicable law.
Some medications used in hormone therapy, including testosterone, are controlled substances. Federal and state law may add requirements such as identity verification, in-person evaluation, quantity limits, or checks of prescription-monitoring databases. A clinician may decline to prescribe, or require extra steps, when the law or professional judgment calls for it.
Many substances sold online as “peptides” are not FDA-approved, may not be lawfully compounded, or are labeled “for research use only.” Agency does not offer or sell research-use-only products. Any peptide therapy offered through our clinicians is prescribed only when the clinician decides it is appropriate and lawful, and is dispensed by a licensed pharmacy. Information on this website about these therapies is educational. It does not mean a therapy is available, appropriate, or safe for you.
7. Laboratory services
A clinician may recommend or require laboratory testing. Lab fees may be separate. Results may be delayed or incomplete, or may require repeat or in-person testing. Agency does not interpret lab results. Please discuss results and treatment decisions with your clinician.
8. Prices, payment, and insurance
Prices and included items are shown before you buy. Unless we say otherwise, fees may not include clinician services, medication, laboratory testing, shipping, taxes, or follow-up care. Agency may collect consultation fees as OSI’s billing agent and will identify the merchant or billing role at checkout. The merchant of record for medication, laboratory, program, membership, and shipping charges will be disclosed with each transaction. By buying, you authorize the identified merchant to charge your selected payment method for the disclosed amounts.
Services are cash-pay and are outside commercial insurance, Medicare, Medicaid, and other government healthcare programs. Agency and OSI will not submit claims for services or products provided this way. We do not promise reimbursement from an employer plan, HSA, or FSA, so please ask your plan administrator. You remain responsible for all charges.
9. Recurring programs
We will not enroll you in recurring billing unless, before you enroll, we clearly disclose the renewal interval, the amount or how it is calculated, what is included, any minimum term, and how to cancel, and you expressly agree. If you enroll, you authorize recurring charges until your cancellation takes effect. We will give you any notices the law requires and a simple way to cancel. Cancelling stops future eligible renewals. It does not reverse services already provided or products already processed, as described in the Return, Refund, and Cancellation Policy.
10. Cancellations, refunds, returns, and shipping
The Return, Refund, and Cancellation Policy is part of these Terms. Because clinical time, lab orders, prescriptions, and patient-specific compounded medications can be committed quickly, some charges become nonrefundable after specific processing steps. Shipping dates are estimates, not guarantees. Risk of loss and replacement rules follow the dispensing pharmacy’s policy [PHARMACY POLICY REFERENCE TO COMPLETE].
11. Electronic communications and signatures
You agree to receive agreements, disclosures, receipts, and service communications electronically at the contact details you provide. Your electronic acceptance has the same effect as a handwritten signature to the extent the law allows. You can withdraw consent to electronic records by contacting support, but doing so may end your access to online services. Please keep a current email address and copies of important records.
Promotional texts and automated marketing calls require a separate consent, presented to you on its own. Marketing consent is optional and is not a condition of purchase or care.
12. Your responsibilities and prohibited conduct
You agree not to:
- Give false information, impersonate another person, hide material medical or payment information, or misuse another person’s account.
- Seek medication for resale, transfer, diversion, research use, or any unlawful purpose.
- Copy, scrape, reverse engineer, disrupt, overload, introduce malicious code into, probe the security of, or use automated access on the website without our written permission.
- Use the website to harass, threaten, infringe rights, submit unlawful content, or interfere with clinicians, pharmacies, laboratories, vendors, or other users.
- Treat general website content, testimonials, or marketing statements as a personal medical instruction.
13. Intellectual property
The website, text, design, graphics, logos, software, and other Agency materials are owned by or licensed to Agency and protected by intellectual-property law. We give you a limited, revocable, nonexclusive, nontransferable right to use the website for your personal, lawful use. No other rights are granted.
14. Testimonials and results
Testimonials and personal stories describe individual experiences. They are not typical of every person and do not guarantee results. Outcomes vary with health status, adherence, treatment choice, and other factors. Before we publish your testimonial, image, or story, we will get the permission required by law and any relevant healthcare privacy rules. When a story comes from someone with a financial or personal connection to Agency, such as an owner, employee, affiliate, or a person who received free or discounted services, we will disclose that connection.
15. Third-party services
Independent clinicians, professional entities, telehealth platforms, laboratories, pharmacies, payment processors, and shipping providers are responsible for their own services and legal obligations. Agency does not control independent clinical judgment, pharmacy dispensing, laboratory performance, carrier operations, or the content of other sites. Nothing in these Terms limits rights that cannot lawfully be waived or Agency’s responsibility for its own conduct.
16. Suspension and termination
We may suspend or end your access if you violate these Terms, create a safety or security risk, fail to pay, misuse the services, or if continued access would be unlawful or impracticable. You may stop using the site at any time and may ask us to close your account, subject to legal retention duties and your separate relationships with providers and pharmacies.
17. Disclaimers
To the maximum extent the law allows, the website and Agency’s nonclinical services are provided “as is” and “as available.” We do not promise uninterrupted or error-free operation, any particular clinical decision, medication availability, shipping date, health outcome, or reimbursement. We do not disclaim obligations that the law does not allow us to disclaim, including consumer-protection duties.
18. Limitation of liability
To the maximum extent the law allows, Agency is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits or data, arising from the website or Agency’s nonclinical services. Agency’s total liability for a claim will not exceed the amount you paid directly to Agency for the Agency service that gave rise to the claim in the twelve months before the event. These limits do not apply where the law prohibits them, and they do not limit liability for fraud, willful misconduct, gross negligence, personal injury caused by conduct for which liability cannot be limited, or any obligation the law does not let Agency exclude.
19. Indemnification
To the extent the law allows, you agree to indemnify Agency against third-party claims and reasonable costs resulting from your unlawful misuse of the website, your material breach of these Terms, or your infringement of another person’s rights. You do not have to indemnify Agency for Agency’s own unlawful conduct.
20. Governing law and disputes
Colorado law governs these Terms without regard to conflict-of-law rules, except where the law of your state must apply. Before filing a nonurgent dispute, you and Agency each agree to send written notice describing the issue and the resolution sought, and to allow thirty days for a good-faith response. Unless the law requires otherwise, the exclusive venue is the state or federal courts serving Douglas County, Colorado. Either party may seek emergency or injunctive relief when appropriate.
21. Changes
We may update these Terms going forward by posting a revised version with a new effective date. If a material change affects an existing recurring service, we will give notice and get your consent when required. Continued use after the effective date counts as acceptance only to the extent the law allows.
22. General
These Terms, the Return, Refund, and Cancellation Policy, and any transaction-specific terms are the agreement between you and Agency about the website and Agency’s nonclinical services. Separate clinical, pharmacy, laboratory, and platform agreements remain separate. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest will stay in effect. A waiver must be in writing. You may not assign these Terms without our consent; Agency may assign them in connection with a lawful business transaction. Headings are for convenience only.
